The following Terms and Conditions apply to all usage of the Georgia Bosson Studio website. The website is owned by Boss Studio Ltd.

Any order placed with Georgia Bosson Studio shall be deemed to incorporate the following terms and conditions of the contract. The person, persons or company from whom the order has been received is/are hereinafter referred to as ‘the customer’ or ‘the client’. Made-to-order products are hereinafter referred to as ‘MTO’.

We are Georgia Bosson Studio (Boss Studio Ltd), a company registered in England and Wales. Our company registration number is 13305024, and our registered office is at Europa House, Goldstone Villas, Hove, United Kingdom, BN3 3RQ. Our registered VAT number is GB 378 1939 47.

Ordering

MTO orders will be accepted and processed on receipt of a 50% deposit, with the remainder due on completion and before delivery. Orders which are stock items will be accepted and processed on receipt of 100% of the total value.

At the time of placing the order, the prices quoted in the company’s official order and acknowledgement will remain firm on all contracts and orders accepted and confirmed for delivery within two months (or as otherwise agreed) from the date of the order acknowledgement.

The contract/order is accepted subject to the availability of materials required to fulfil the contract/order. The company will make every effort to carry out the terms of the contract. Still, no liability will be accepted for deliveries delayed or suspended as a result of any Act of God, War, Flood, Strike, Lockout, Breakdown, Accident, Government Control or Restriction of Supplies for Industry, or any other Industrial Action or any contingency beyond the control of the company directly or indirectly preventing or delaying the performance of this contract. In the event of any of the said contingencies arising, the company shall be entitled to suspend deliveries under the contract. The property of any goods supplied shall remain with the company until full payment for the goods is received.

We may make changes to these terms or the products, but if we do so, we will notify you, and you may then contact us to end the contract before the changes take effect and receive a refund for any products paid for but not received.

If we cannot accept your order, we will inform you of this in writing and will not charge you for the products. This might be because the products are out of stock, because of unexpected limits on our resources or because we cannot meet the delivery deadline you have specified.

In the event of a customer becoming insolvent or bankrupt or, signing a Trust Deed or compounding their Creditors, or appointing a Receiver or Liquidator, Georgia Bosson Studio may withhold all further deliveries of goods and resile from this contract and any other contract between Georgia Bosson Studio and the customer without liability to the company in respect of such a withholding of deliveries or resiling and without prejudice to any rights and claims the company may have against the customer in respect of deliveries already made.

Pricing & Payment

Payments shall be made in pounds Sterling. Please ensure that all bank charges are paid upon international bank transfer. The purchaser is responsible for all of these charges.

The preferred payment method is BACS; please ensure the invoice number and client name are referenced. Where an online transfer is not an option, you can accept the details of an order by making payment via the payment link we provide in our order confirmation email. After payment, a legally binding contract will be formed between you and us.

 Lead times are indicated at the time of payment received, though this is a guide only and may depend on the volume of orders and production capacity available in our workshop.

Production of your order will start when the payment or deposit is received in full or when all details required by us to complete the order are received, whichever is the later. A delay in receipt by us of payment in full or a deposit or confirmation of the specifications of a Commissioned Product or an MTO Product will lead to a delay in the delivery of your order.

Prices are set out on our website and price lists and include VAT at the current rate. We reserve the right to alter prices at any time. All prices are quoted ex delivery. Trade clients must provide their VAT number at the time of ordering.

For Private clients, the total price you pay for the products, excluding VAT, will always be the same regardless of the destination or currency paid in. Additional VAT (or its equivalent tax) will be charged depending on the delivery country.

For delivery to countries in the EU, additional VAT will be charged on the products, and the applicable delivery charge will be either UK VAT or the equivalent tax in the jurisdiction to which the products are to be delivered.

For delivery to countries outside the EU, the additional tax charged on the products and applicable delivery charge will not be UK VAT. If the products are delivered to a shipping agent in the UK but for immediate export outside of the EU, it may be possible to refund any additional UK VAT charged. Please notify us before making the order if you plan to have the products delivered directly to a shipping agent, or the additional UK VAT charged may not be refunded.

Trade Clients who are registered with a business outside the EU and request shipping directly to an address outside of the EU must first provide evidence of their registration. Such evidence shall include their company registration number and billing and shipping address in their country of registration. Invoices will then be provided exempt from VAT or zero-rated.

Delivery

The goods delivered will be in accordance with the details given on the official order acknowledgement and accompanying drawings or any amendments agreed thereto.

 All textiles are wrapped in acid-free paper and sent in a cardboard box.

 It is the client’s responsibility to raise and declare any issues with access at the point of order, giving full details about the site, regarding which floor any lift access and consider adequate space to receive large items. If access issues have not been declared before delivery, a redelivery charge will be applicable.

Delivery costs are estimated according to specific locations, timings and forms of delivery. Client requests to change delivery requirements will be accommodated where possible, though prices may vary accordingly. Costs are calculated for ground floor delivery as standard unless the customer advises otherwise.

We endeavour to give the most accurate shipping prices to customers purchasing from outside the UK. Still, in rare cases, shipping can incur additional charges payable by the client. Shipping excludes all local taxes, charges and duties.

All delivery times quoted are approximate and are subject to change before delivery. We will endeavour to give as much notice as possible; however, if delivery is delayed, we do not accept liability for any consequential loss.

If an event outside our control delays our supply of the products, we will contact you as soon as possible to let you know, and we will take steps to minimise the effect of the delay. Provided we do this, we will not be liable for delays caused by the event, but if there is a risk of substantial delay, you may contact us to end the contract and receive a refund for any products you have paid for but not received.

If we notify you of such reasonable delays and you decide to cancel the contract, we reserve the right to charge you for all expenses and outlays incurred up to the date of cancellation, together with a further amount calculated and notified to you by us acting in good faith (and our determination shall, in the absence of manifest error, be final and binding on parties) on a pro-rata basis proportionate with the state of completion of the relevant products and as notified to you. The same applies when you have commissioned a Product before receiving a shipping quotation.

Any deposit amount previously paid by you to us regarding Bespoke or MTO products will be applied against any such amounts due to us.

Georgia Bosson Studio shall be entitled to refuse to deliver goods to an unfinished site or one deemed unsuitable for receipt of goods. The client must declare incomplete site conditions before delivery arrangements are made. Redelivery will require additional charges.

 Any cancellation to scheduled deliveries must be advised by email 72 hours prior. Failure to give advance notice may also incur a cancellation fee. Any damage to the piece, once it has left the Georgia Bosson Studio workshop, is then the responsibility of the client.

 Goods can be held, free of charge, for up to two weeks beyond the standard lead time. Should additional storage time be required, charges will apply calculated on the cubic meterage and time period.

 The failure of Georgia Bosson Studio to deliver any of the goods shall not invalidate the contract for the remainder of the goods. The company shall be entitled to, and the customer shall be bound to, complete the contract so far as it concerns the rest of the goods.

Faulty Goods

The images of the products on our website and marketing materials are for illustrative purposes only. Although we have made every effort to be as accurate as possible, because our products are handmade, all colours, sizes, weights, capacities, dimensions and measurements are indicative only. We cannot guarantee that the images accurately reflect the product's characteristics. Your products may vary slightly from these images.

If you require specific dimensions, please notify us at the time of ordering. When processing MTO or Commissioned Products from measurements you have given us, you are responsible for ensuring that these measurements are correct.

For MTO or Commissioned Products, while we will use all reasonable endeavours to match agreed specifications such as but not limited to colour, material finish, shape and dimensions, you accept that there may be reasonable variances.

If you have any questions or complaints about the products, please get in touch with us by the details set out above. We will endeavour to get back to you within two working days. Please do not attempt to fix the problem yourself; contact us first. We cannot accept any goods back if changes have been made, as it will invalidate the guarantee.

You should unpack and inspect your order immediately upon delivery. We must be notified of any damage or if the products are not in accordance with the order with a report and photographic evidence sent to us by email as soon as possible following delivery and, in any case, within five working days. If you wish to exercise your legal rights to reject defective products, you must return them to us at an address notified to you in writing or allow us to collect them from you, in each case, at your cost.

You agree that we may examine and test any products claimed to be defective to establish whether those defects are our responsibility.

When we are satisfied that the products do not conform with the contract, are not fit for purpose, or are not of satisfactory quality, you will be offered a replacement or full refund of the original purchase price. This will include both the cost of initial delivery and the return of the products, except for supplementary costs arising if you choose a type of delivery other than, or equivalent to, our standard and least expensive method of delivery at the time the order was made or when returning the products. Any refund will be credited to the credit card or bank account used to pay for the products.

Guarantee

The products we offer often use traditional techniques and materials. While we guarantee the quality of the products for 12 months from the time of delivery, it should be noted that certain products may react to climatic differences. While we endeavour to provide care instructions, we will reserve our position about climatic and similar impacts on the products.

Returns

All bespoke, customised and made-to-order pieces are non-refundable and non-returnable. These items may only be returned for full refund or exchange in the unlikely event of items being found faulty, which is at our discretion.

When you purchase an item online, as a customer, you have the right to cancel your contract and return items to us up to 14 days after delivery.

Any products that are returned should be unused and in their original packaging.

If you fail to take reasonable care of the goods before they return to us and this causes damage or deterioration of the products, we will charge you for the reduction in value.

We regret that we cannot accept international returns unless items are damaged or faulty. For international orders which were expedited or bespoke shipping was requested, we regret that we are unable to offer a refund on this cost. 

Cancellations & Amendments

For MTO items on a typical 4-6 week lead time, there will be no charge for cancellation or amendments to orders if notification is received in writing within three days of placing the original order.

We will let you know if the change is possible. If it is possible, we will let you know about any changes to the price of the products, the timing of supply or anything else which would be necessary as a result of your requested change and ask you to confirm whether you wish to go ahead with the change. If we cannot make the change or the consequences of making the change are unacceptable to you, you may want to end the contract.

Validity

These Terms & Conditions will be governed by and construed in accordance with English Law and shall be subject to the non-exclusive jurisdiction of the High Court in London.

Georgia Bosson Studio reserves the right to modify the Terms and Conditions without notice. New Terms and Conditions automatically supersede prior published information from the publication date.
